An informational website

This website at www.valencedealertech.com is published by Valence Dealer Technologies Inc. (“Valence”, “we”, “us”). By using it you accept these terms; if you do not accept them, please do not use the site. The site exists to describe the Valence suite and to let you request a private preview. Nothing on it is an offer to sell, a price list, or a commitment that any capability is available to you on any date. Access to the product itself is arranged separately, under the agreements described below.

Representative demonstrations

The product interfaces, conversations, appraisals, reports and other sequences shown on this site are representative demonstrations. They are staged on a synthetic dealership group with synthetic people, vehicles, figures and times, and they carry a caption saying so. In particular:

• No demonstration is a live product, a live account or a live customer conversation.
• No figure shown is a quotation, a valuation, an appraisal, a price, a payment, a rate, a credit decision, or a commitment of any kind, whether to you, to a customer, or to anyone else.
• The names, stores and vehicles are invented and refer to no real person, business or unit.
• A demonstration shows how the product is designed to behave; it does not describe your results, which depend on your store, your data and your people.
• Valence is in private preview. The product experiences shown represent the platform intended for upcoming dealership deployments; availability varies by workflow, integration and pilot configuration, and is confirmed for each dealership under its own agreement.

Intellectual property

The website (its text, design, product interfaces, demonstrations, graphics, code and the Valence name and marks) belongs to Valence Dealer Technologies Inc. or is used with permission. You may view the site, print or save pages for your own reference, and quote short passages with attribution. You may not copy, republish, sell, scrape or otherwise reuse the site’s content or its marks without our written permission. Where a third party’s name appears on this site, it belongs to that party and is used only to identify them.

Third-party software, fonts and other materials used on the site remain subject to their own licences, and nothing in these terms removes rights those licences give you. The Valence name and marks are not licensed for use as your own branding.

Acceptable use

Use the site as a visitor would. Do not:

• attempt to gain access to any system, account or service behind the site;
• probe, scan or test the site or its hosting for vulnerabilities without our consent;
• send anything unlawful, deceptive or harmful through the request path;
• use the request path to send us customer, credit, payment or health information;
• use automated tools to harvest content or addresses from the site;
• present the site or its demonstrations as your own, or as a live Valence product.

If you believe you have found a security issue, please report it to security@valencedealertech.com rather than testing further. A report is welcome; it is not permission to test.

Where the site links to another website, we do so for convenience. We do not control those sites, we are not responsible for their content or their handling of your information, and a link is not an endorsement. Their own terms and privacy policies apply once you leave this site.

Information and warranties

This website provides general information and synthetic demonstrations. The capabilities, integrations and availability of the product for a dealership are set out in its signed agreement. The website is provided as it is available, without a promise that it will run without interruption or be free of errors. We take care with what we publish and correct errors when we find them, but information on this site is not advice: please confirm current product and commercial details with us before making a purchase decision.

To the extent permitted by applicable law, we exclude implied warranties relating to your use of this informational website. Nothing in these terms excludes liability for fraud or fraudulent misrepresentation, limits privacy or consumer rights that cannot lawfully be limited, or changes obligations under a signed product agreement. Any further limitation of liability for the product is agreed expressly in that agreement.

Relationship to product agreements

These are website terms. They do not replace, amend or form part of any agreement under which a dealership or group uses the Valence product: a master services agreement, a data processing agreement, an order form, a service level agreement, product terms, or a trial or preview agreement. Where a product agreement and these website terms differ, the product agreement governs the product and these terms govern the website.

Governing law and changes

These website terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. Subject to any rights and jurisdiction rules that cannot be waived, a dispute about these terms or this website may be brought in the courts of Alberta. These terms do not change the governing law or dispute arrangements in a signed product agreement.

If a provision of these terms is unenforceable, the rest continue to apply to the extent the law permits. When we update these terms, we publish them here with their effective date and give additional notice where the law requires it. A change does not retroactively alter rights that have already arisen or amend a signed product agreement, and any change that requires agreement takes effect only through the applicable acceptance process.
